These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LipaPocket Ltd ("LipaPocket," "we," "us," or "our"), a company incorporated and registered in Nairobi, Kenya. These Terms govern your access to and use of the LipaPocket multi-currency digital wallet and cross-border remittance platform (the "Platform"), including all associated websites, mobile applications, APIs, and services.
By creating an account, accessing, or using any part of the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
In these Terms, the following definitions apply:

| "Transaction" | Any deposit, withdrawal, transfer, conversion, remittance, payment, or crypto trade executed through the Platform. |
| "KYC" | Know Your Customer — the identity verification process required to access certain Platform features. |
| "Remittance" | A cross-border money transfer from one country to another through supported corridors. |
| "P2P Transfer" | A peer-to-peer transfer of funds between two LipaPocket users. |
| "API" | Application Programming Interface — programmatic access to Platform functionality for developers. |
| "Payment Request Link" | A shareable URL generated by a User to request payment from another person. |
| "Beneficiary" | A saved recipient for recurring transfers and remittances. |
You must be at least 18 years of age to create an account and use the Platform. By registering, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
LipaPocket services are available to residents of countries where we are authorized to operate. We reserve the right to refuse service to individuals or residents of jurisdictions where our services are prohibited by law or regulation, including countries subject to comprehensive sanctions.
Access to Platform features is governed by your KYC verification tier. You must complete the applicable verification level before accessing restricted features:

We reserve the right to request additional verification at any time, including for specific transactions that trigger compliance review thresholds.
Each individual may maintain only one LipaPocket account. Creating multiple accounts is prohibited and may result in the suspension or closure of all associated accounts.
You agree to provide accurate, current, and complete information during registration and KYC verification, and to update this information promptly if it changes. Providing false or misleading information is grounds for immediate account termination.
You are solely responsible for:
LipaPocket is not liable for any loss or damage arising from your failure to maintain account security. If unauthorized access occurs due to your negligence, you bear full responsibility for any resulting transactions.
You may only use the Platform for your own personal or business purposes. You may not allow third parties to access your account or use your credentials to transact on someone else's behalf, unless expressly authorized through our API services.
LipaPocket enables you to create and maintain digital wallets in multiple supported currencies, including but not limited to KES, USD, EUR, GBP, TZS, UGX, and NGN. Your wallet balances represent an obligation of LipaPocket to you and are not deposits in a bank. Wallets are not insured by any government deposit insurance scheme.
Wallet balances reflect the value of funds you have deposited, received, or converted, minus any withdrawals, transfers, fees, or adjustments. We endeavor to display accurate balances at all times, but in the event of a discrepancy caused by system error, we reserve the right to correct balances to reflect the true state of your account.
LipaPocket does not pay interest on wallet balances. Your funds are held for the purpose of enabling transactions and are not investment products.

We reserve the right to modify our fee schedule at any time. Changes to fees will be communicated via the Platform and/or email at least 14 days before taking effect. Current fees are always visible before transaction confirmation.
You may fund your LipaPocket wallet through the following methods:
You may withdraw funds from your wallet to your M-Pesa account or other supported withdrawal methods. Withdrawal requests are subject to:
We aim to process withdrawals promptly, but processing times may vary depending on the withdrawal method, the amount, and any compliance review requirements. LipaPocket is not responsible for delays caused by third-party payment providers or mobile network operators.
Completed transactions are generally final and irreversible. In the event of a proven error, duplicate transaction, or unauthorized transaction, you may submit a dispute to our support team for investigation. Reversals are granted at our sole discretion and subject to our investigation findings.
You may send funds to other LipaPocket users in the same currency. You must identify the recipient by their registered phone number, email address, or username. You are responsible for verifying the correctness of the recipient's details before confirming the transfer.
P2P transfers between wallets of different currencies are supported, with automatic foreign exchange conversion at the prevailing exchange rate displayed at the time of the transfer. The exchange rate is locked at the time you confirm the transaction. See Section 8 for details on currency conversion.
LipaPocket is not responsible for transfers sent to incorrect recipients due to errors in the information you provide. If you send funds to the wrong recipient, we will make reasonable efforts to assist in recovery, but cannot guarantee the return of funds.
LipaPocket facilitates cross-border remittances through supported corridors (e.g., Kenya to United States, Kenya to United Kingdom, and other corridors as available). Corridor availability may change based on regulatory requirements and partner capabilities.
To send a cross-border remittance, you must:
Remittance processing times vary by corridor, destination payment method, and compliance review requirements. Estimated delivery times are displayed before you confirm the remittance but are not guaranteed. LipaPocket is not liable for delays caused by receiving financial institutions, regulatory holds, or circumstances beyond our control.
You may request cancellation of a remittance before it has been paid out to the beneficiary. Once a remittance has been disbursed, cancellation is not possible. Cancellation requests are subject to a review period and applicable cancellation fees.
Currency conversions are executed at exchange rates determined by LipaPocket based on prevailing market rates. Exchange rates include a margin applied by LipaPocket. The applicable rate is displayed to you before you confirm any conversion or cross-currency transaction.
Exchange rates are subject to market fluctuations and may change between the time a rate is quoted and the time a transaction is confirmed. Once you confirm a transaction, the displayed rate is locked for that transaction. LipaPocket is not responsible for rate movements that occur after a transaction is confirmed but before it is fully settled.
Currency conversion transactions may be subject to a conversion fee in addition to the exchange rate margin. All applicable fees are disclosed before transaction confirmation.

Cryptocurrency services are available only to users who have completed Enhanced KYC verification. Access may be further restricted based on your jurisdiction's regulatory requirements.

LipaPocket does not provide investment, financial, tax, or legal advice. Any information provided on the Platform regarding cryptocurrency prices, trends, or market conditions is for informational purposes only and should not be construed as advice. You are solely responsible for your trading decisions.
LipaPocket offers optional integrations with third-party communication platforms, including WhatsApp and Gmail, to help you manage your conversations and customer interactions. By connecting a social or communication platform, you agree to the following terms.
When you connect a social or communication platform (such as WhatsApp or Gmail) to your LipaPocket account, you authorize LipaPocket to read, receive, and process messages and related data from that platform for the purpose of delivering the features you have enabled. This includes:
You represent and warrant that you have the authority to connect the platforms you link and that your use of these integrations complies with the respective platform's terms of service.
LipaPocket provides AI-powered communication features that can process your messages to enhance your experience. When you enable these features, you acknowledge and agree that:
You control which AI-powered features are active at all times. You can enable or disable any AI feature through your account settings. AI-generated responses are sent on your behalf, and you are responsible for reviewing and managing the content of automated communications.
When using social platform integrations and AI-powered communication features, you agree to the following guidelines:
Violation of these guidelines may result in the suspension or permanent revocation of your access to social platform features, and may lead to broader account restrictions as described in Section 15.
You retain ownership of your messages and communication data. LipaPocket processes your communication data solely for the purpose of delivering the services you have authorized. We do not claim ownership of your messages, and we do not use your personal communication content for advertising or sale to third parties. For full details on how we handle communication data, please refer to our Privacy Policy.
You may disconnect any social or communication platform from your LipaPocket account at any time through your account settings. Upon disconnection:
You may generate shareable payment request links to request payment from other individuals. Each link contains information about the requested amount, currency, and your account reference.
Individuals who pay via a payment request link are responsible for verifying the identity of the requester and the legitimacy of the request before completing payment. LipaPocket is not responsible for payments made in response to fraudulent or misleading payment request links.
Payment request links must not be used for illegal, fraudulent, or deceptive purposes, including but not limited to phishing, scams, or solicitation of funds under false pretenses. Abuse of this feature will result in account suspension.
Developers may request API keys to integrate with LipaPocket services programmatically. API keys are issued subject to our approval and are governed by these Terms and any additional API-specific documentation.
You are responsible for:
API access is subject to rate limits and fair use policies. Excessive usage, abuse, or any use that degrades the Platform's performance or availability may result in throttling, temporary suspension, or permanent revocation of API access.
We may modify, deprecate, or discontinue API endpoints with reasonable notice. We will endeavor to provide at least 30 days' notice before breaking changes, but reserve the right to make immediate changes for security or regulatory reasons.
Transaction limits are applied based on your KYC verification tier. Limits apply to individual transactions, daily cumulative amounts, and monthly cumulative amounts. Specific limit values are displayed within the Platform and may vary by transaction type and currency.
LipaPocket reserves the right to modify transaction limits at any time, including imposing lower limits on individual accounts based on risk assessment, compliance review, or regulatory requirements. You will be notified of any changes to your personal limits.
To access higher transaction limits, you must complete the next KYC verification tier. In some cases, additional documentation or enhanced due diligence may be required for transactions above standard thresholds.
You agree not to use the Platform for any of the following purposes:
LipaPocket may suspend, restrict, or freeze your account and/or wallet balances if:
During suspension, you may not be able to access your account, initiate transactions, or withdraw funds. We will endeavor to notify you of the reason for suspension where legally permitted, but in some cases (e.g., active investigations or regulatory holds), we may be prohibited from providing details.
If your account is suspended, you may contact support@lipapocket.com to request a review. Resolution timelines depend on the nature of the issue, the outcome of any investigation, and regulatory requirements.
You may request deactivation of your account at any time through the Platform settings or by contacting support@lipapocket.com.
Account deletion follows this process:
We may terminate your account at any time if you materially breach these Terms, engage in prohibited activities, or if required by law or regulation. In the event of termination, we will provide you with an opportunity to withdraw your funds (except where prohibited by law or regulatory directive).
You may save beneficiary details (name, phone number, bank account information, country, and relationship) for convenient recurring transfers and remittances. You represent and warrant that you have the beneficiary's consent to store their information and that all details provided are accurate.
You are responsible for the accuracy of beneficiary information. LipaPocket is not liable for transfers sent to incorrect recipients due to errors in beneficiary details you have provided.
LipaPocket may offer a referral program that rewards you for referring new users. Program details, reward amounts, and eligibility criteria are published on the Platform and may change at any time.
The Platform, including all software, code, designs, graphics, text, interfaces, trademarks, logos, and content (collectively, "LipaPocket IP"), is the exclusive property of LipaPocket Ltd or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for the purpose of accessing and using the services as intended.
You may not:
By submitting documents, information, or other content to the Platform (e.g., KYC documents, profile information), you grant LipaPocket a non-exclusive, worldwide license to use, store, and process such content solely for the purpose of providing and improving the Platform's services, complying with legal obligations, and as otherwise described in our Privacy Policy.
The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We may perform scheduled maintenance that temporarily interrupts service availability.
To the maximum extent permitted by applicable law, LipaPocket and its directors, officers, employees, and agents shall not be liable for:
Where liability cannot be fully excluded, LipaPocket's total aggregate liability to you for all claims arising out of or related to your use of the Platform shall not exceed the lesser of: (a) the total fees paid by you to LipaPocket in the 12 months preceding the claim, or (b) the amount of the specific transaction giving rise to the claim.
You agree to indemnify and hold harmless LipaPocket, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
If you believe a transaction was executed in error or without your authorization, you must notify us within 30 days of the transaction date by contacting support@lipapocket.com. We will investigate and respond within a reasonable timeframe. Late notification may limit our ability to investigate or recover funds.
Before initiating formal dispute resolution, you agree to attempt to resolve any dispute informally by contacting our support team. We will work in good faith to resolve your concern within 30 days of your written complaint.
If a dispute cannot be resolved informally, it shall be submitted to binding arbitration administered by the Nairobi Centre for International Arbitration (NCIA) in accordance with its arbitration rules. The arbitration shall take place in Nairobi, Kenya, and shall be conducted in English. The arbitrator's decision shall be final and binding on both parties.
To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect intellectual property rights or prevent irreparable harm.
These Terms are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law principles. Subject to the arbitration provisions in Section 21, the courts of Nairobi, Kenya shall have exclusive jurisdiction over any matters not subject to arbitration.
We may update these Terms from time to time. When we make changes, we will:
Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must discontinue use of the Platform and may request account deletion.
These Terms, together with the Privacy Policy and AML Policy, constitute the entire agreement between you and LipaPocket regarding the use of the Platform and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
The failure of LipaPocket to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of LipaPocket.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. LipaPocket may assign its rights and obligations under these Terms to an affiliate or successor in connection with a merger, acquisition, or sale of all or substantially all of its assets, upon notice to you.
Notices from LipaPocket to you may be delivered via email to the address associated with your account, through in-platform notifications, or by posting on the Platform. Notices from you to LipaPocket should be sent to support@lipapocket.com.
These Terms are drafted in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.
